An NDA comes before client names

A sample handover checklist with the first steps ticked off in pen.
  1. 1

    A short call

You tell us what you're considering. We don't need documents or client names for this.
  2. 2

    NDA

We sign a non disclosure agreement before you share anything sensitive.
  3. 3

    Your numbers

You show us revenue by client and your contract terms, and you walk us through how the work gets done.
  4. 4

    A written estimate

We send you a non binding estimate of what we might pay and how you'd get paid: the structure, the share and the period. It's yours to compare with anything else.
  5. 5

    Agreements and client approval

Lawyers finalize the terms. Then we tell clients together and get consents or new agreements.
  6. 6

    Handover

We work alongside you until clients have settled in, at a pace you've agreed to.

Timing depends on clients, contracts and negotiations, so we'll plan it with you and won't promise a date.

Diligence

What we would ask to see, after the NDA

We can only pay for revenue we can verify and transfer, so this part takes some work. You don't need any of it for a first conversation.

  • Revenue

What each client has actually paid over the past 12 to 24 months, supported by deposits and invoices.

  • Client contracts

Terms, termination rights, and whether a contract can be assigned or needs consent.

  • The work

Services provided, payer mix, claim volumes, denial rates and any open obligations.

  • People

Employees or contractors and what each is responsible for.

  • Compliance

HIPAA practices, security history and existing Business Associate Agreements.

  • Systems

EHR access, permissions, and which relationships depend on you personally.

Handover

How we would take over the accounts

  • Tell clients togetherYou introduce us, so clients hear the plan from someone they already trust.
  • Secure consents or new agreementsEach client makes their own choice, with a BAA in place before we access any data.
  • Set up proper accessNamed accounts with role based permissions, and no shared logins.
  • Work side by sideWe learn how each client likes to work, while you're still the person they call.
  • Change one thing at a timeWe keep service steady first, and only look at improvements once clients have settled in.

We'd sign an NDA first, then send you a non binding written estimate. You don't have to do anything with it.
